Effective Date: These Terms and Conditions are effective as of May 24, 2018, and were last updated on June 8, 2023.
Agreement Scope: This document outlines the terms and conditions between Alpha Affiliates (“the Affiliate Program”) and the participating party (“you” or “Affiliate”). The Affiliate Program is managed by GS Technologies Ltd., situated at Villa Malitah, Mediterranean Street, The Village, St. Julians STJ 1870, Malta, with the registration number C 70295.
Affiliation and Acceptance: By registering for the Affiliate Program, and through the usage of our marketing tools or the acceptance of any rewards, bonuses, or commissions, you acknowledge and agree to these terms. We may update these terms occasionally, and while efforts will be made to notify you of these changes, you are advised to regularly review this document. Continued participation in the Affiliate Program indicates your agreement to any modifications.
1 Definitions:
1.1. “Affiliate” refers to you, the person or entity, applying to or participating in the Affiliate Program.
1.2. “Affiliate Account” means the account registered by the Affiliate upon joining the Affiliate Program.
1.3. “Affiliate Agreement” comprises these terms and conditions, applicable commission structures, and any other guidelines or rules provided by the Company.
1.4. “Affiliate Links” are hyperlinks used by the Affiliate to link to the Company’s websites.
1.5. “Company Websites” refers to any websites operated by Alpha Affiliates or its affiliates.
2 Affiliate Obligations:
2.1. The Affiliate must register for the Affiliate Program by accepting these terms and conditions.
2.2. Participation in the Affiliate Program is intended for the Affiliate’s direct involvement. Transferring or brokering an Affiliate Account is not permitted.
2.3. The Affiliate is responsible for the content and operation of their own websites and must ensure compliance with all applicable laws and regulations.
3 Company Obligations:
3.1. The Company will provide necessary support, tools, and information for the Affiliate to effectively participate in the Affiliate Program.
3.2. The Company will track and report transactions generated by the Affiliate’s referral in a timely and accurate manner.
4 Commission and Payments:
4.1. The Affiliate will earn commissions as per the agreed-upon Commission Structure.
4.2. Payments will be made to the Affiliate’s designated account subject to the terms outlined in this Agreement.
5 Intellectual Property:
5.1. The Affiliate is granted a non-exclusive, non-transferable license to use the Company’s branded materials for the duration of the Agreement.
5.2. All intellectual property rights of the Company must be respected and can only be used as expressly permitted by this Agreement.
6 Confidentiality:
6.1. The Affiliate must maintain confidentiality regarding any proprietary or confidential information disclosed during the term of this Agreement.
7 Term and Termination:
7.1. This Agreement is effective upon the Affiliate’s registration and remains in effect until terminated by either party.
7.2. Either party may terminate this Agreement with written notice. Upon termination, the Affiliate must cease using all Company materials and links.
8 Liability and Indemnification:
8.1. The Company is not liable for indirect or accidental damages arising from this Agreement.
8.2. The Affiliate agrees to indemnify the Company against any losses or damages arising from their breach of this Agreement.
9 Miscellaneous:
9.1. This Agreement represents the entire understanding between the Company and the Affiliate.
9.2. Modifications to this Agreement must be made in writing and agreed upon by both parties.
9.3. The Affiliate’s participation in the Program does not create any partnership, joint venture, agency, or employment relationship.
Acceptance: By registering for the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement.
